1. Acceptance of Terms

These Terms supplement any Master Services Agreement (MSA) executed between you and 7Pro Affiliate. In case of any conflict between these Terms and the MSA, the MSA shall prevail. Services are provided only upon execution of an MSA, which outlines specific service deliverables, payment terms, and termination conditions.

2. Affiliate Disclosures

We participate in affiliate marketing programmes, and we may earn commissions from qualifying purchases made through links on our site. These links direct you to third-party affiliate networks, which may set cookies for tracking purposes. We do not control or access these cookies or any associated data, and all tracking is managed by third-party providers per their privacy policies.

3. Site and Service Use

• You agree to use our website and services in compliance with all applicable laws, regulations, and industry standards, including the UK GDPR, Data Protection Act 2018, and advertising regulations.
• Prohibited activities include:
  • Generating fraudulent traffic or engaging in deceptive practices to inflate affiliate commissions.

Non-compliance may result in immediate termination of services and notification to the relevant affiliate network.

4. Intellectual Property

• All content, tools, and materials on our website (e.g., text, logos, software) are owned by 7Pro Affiliate Ltd or our licensors. You are granted a non-exclusive, non-transferable licence to use these materials solely for the purposes of our services during the term of an MSA.
• You may not reproduce, modify, distribute, or reverse-engineer our intellectual property without prior written consent.
• Any content or data provided by you or third parties remains the property of the respective owner.

5. Limitation of Liability

• Our services and website are provided “as is” without warranties of any kind, express or implied. We do not guarantee the accuracy, reliability, or availability of third-party affiliate networks, tracking systems, or services.
• We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, commissions, or business opportunities, arising from the use of our services or website.
• We rely entirely on third-party affiliate networks and service providers for tracking, reporting, and security. We disclaim all liability for third-party actions, including tracking errors, lost commissions, data breaches, or disputes between advertisers and networks. You agree to look solely to third-party providers for any claims or issues.
• Our total liability shall not exceed the management fees paid by you in the preceding six months.
• We strive to ensure our website complies with applicable accessibility standards, such as those under the UK Equality Act 2010. However, we are not liable for any errors, interruptions, or inaccuracies in affiliate link functionality, as these are managed by third-party affiliate networks.

6. Indemnification

7. Termination

• Upon termination, you remain responsible for all outstanding payments to third-party affiliate networks or publishers. We have no further obligations to provide services.

8. Governing Law and Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.

Any disputes arising under these Terms shall first be resolved through good-faith negotiations between the parties. Any disputes must be raised in writing to [email protected] within 30 days of the issue arising, or the claim may be time-barred.

If good-faith negotiations fail to resolve the dispute within 30 days, the parties shall attempt mediation through a mutually agreed mediator before pursuing litigation. If mediation fails or is not agreed, disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales.

9. Force Majeure

7Pro Affiliate shall not be liable for any failure or delay in performing its obligations under these Terms or an MSA due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, government regulations, strikes, or failures of third-party service providers. In such cases, we will notify you promptly and resume performance as soon as practicable.
